Sample I
The Employee shall diligently, carefully and faithfully discharge his duties to the best of his ability and judgement under the directions, guidance and instructions of the President, or any other persons lawfully authorize by the Company.
Sample II
You must perform to the best of your ability at all times and faithfully serve the company’s interests while you are in the company’s service. You shall keep confidential all matters relating to the business of the Company or to any client of the Company. You shall not without the prior consent of the Company, divulge such information to any person not authorized to receive such matter.
Sample III
The employee is obligated to perform the duties assigned to him with due care and in accordance with the instruction set by his superior.
The employee must avoid any action that conflicts with any reasonable procedures required of employee in his position, which might potentially cause damage to the Company or to any customer.
The employee is bound to secrecy regarding (company name)’s business activities in accordance with (company name)’s practice.
The employee must not release to the public any information regarding the business of (company name) without prior written permission from the management of the company or responsible division.
The employee must not actively participate in the politics of the country during official working hours.
The employee shall observe the local law and respect the customs of the country. The employee should develop and maintain good relations with local authorities and residents.
Sample IV
You agree that during the term of your employment with the Company, you shall have, by virtue thereof, have access to the confidential information of the Company (“Confidential Information”), whether or not owned or developed by the Company. Without limiting the generality of the foregoing, Confidential Information shall include, but is not limited to, the following types of information and other information of a similar nature: ideas, concepts, designs, packaging, specifications, formulas, economic and financial analysis, developments, processes, procedures, product know-how, operation methods, marketing and development techniques and materials, customer/supplier names and other information related to customers/suppliers, employees’ names, backgrounds, qualifications and other information related to employees, pricing policies, details of customer/supplier contracts, and other trade and financial information.
You hereby agree that despite termination of your employment with the Company, you shall hold in confidence and shall not directly or indirectly disclose or transfer any of the Confidential Information to any person or entity. Upon termination of your employment for whatever reason, you shall return all Confidential Information in your possession to the Company. You hereby further agree and acknowledge that remedies at laws or under this Agreement for any breach of such confidentiality obligation may be inadequate and that the Company shall in addition to but not in lieu of any other remedies available under law or this Agreement, be entitled to seek injunctive and specific performance relief.
Sample V
You should assume that all information which you come across during your duties, that is not already obviously public knowledge, is confidential. However, information that consists of general know-how or is a matter of your own skills is not confidential.
Before the end of your employment with the Company you must return to the Company all confidential information without retaining it in any form. All other documents, data, manuals, security keys and other items which are the Company’s property and are tentatively in your possession or under your control should also be returned at this time.
Sample VI
It is expected that you will treat as confidential all information pertaining to (company name) which you obtain in the performance of your job and that you will not disclose or make known any such information to a third party without the prior written consent of (company name).
Sample VII
The operations of the Company involve almost all employees receiving or having access to or knowledge of the Company’s commercially sensitive or secret information. It is the responsibility and obligation of all employees to maintain the highest professional standards to ensure that this information is properly and professionally handled to protect the Company’s commercial interests and to ensure compliance with regulatory and legal requirements. Failure to follow these principles will jeopardize the Company’s reputation and business.
In addition to and without altering the legal obligations you have to keep industrial secret you promise not either during your employment or after it has ended to disclose or communicate any information that is confidential or belongs to the Company.
